COMIS Affiliate Program Agreement


We appreciate your interest in the COMIS Affiliate Program (the "Program"), operated by COMIS AB ("COMIS," "we," "our," or "us"). Before participating, you must carefully read, understand, and agree to all terms and conditions outlined in this Agreement, including those incorporated by reference and COMIS' Privacy Policy, available at
https://www.comis.com/policies/privacy-policy. By enrolling in the Program, you acknowledge and accept these terms (the "Agreement"). We reserve the right to modify this Agreement at any time, with updates posted here: https://www.comis.com/pages/affiliates-terms.

1. ENROLLMENT REQUIREMENTS

  • To participate in the Program, you must submit a complete application through the designated Program channel as specified by COMIS via its affiliate platform, Shopify Collabs ("Shopify"), and consent to be bound by this Agreement. You represent and warrant that all information provided in connection with your application and ongoing participation in the Program is accurate, complete, and up-to-date. You agree to promptly notify COMIS or Shopify of any changes to such information.

  • Upon receipt of your application, COMIS will review your submission and notify you of acceptance or rejection. COMIS reserves the sole discretion to reject any application or rescind approval of any previously accepted application at any time.

  • As part of your application, and upon request thereafter, you must disclose at least one website, application, social media channel, or other service to be utilized in connection with the Program ("Your Services"). All of Your Services are subject to COMIS' prior written approval.

  • Participation in the Program requires the creation of a Shopify account, which is subject to Shopify’s terms and conditions, incorporated herein by reference. Your Shopify account is personal and non-transferable. You shall not permit any third party to access or use your account. You are responsible for safeguarding your password and any activity arising from its use. You must immediately notify COMIS of any unauthorized access or suspected breach of your account.

 

2. AFFILIATE SALES COMMISSION

  • COMIS agrees to pay You the commission specified in each Offer for purchases by Customers who access COMIS via a Qualifying Link and complete a purchase not subject to return during the Engagement period (each, a "Qualifying Action").  

    • "Offers" refers to any link, code, or promotional item made available to You for the marketing or promotion of COMIS to consumers via Your Services.

    • A "Qualifying Link" shall be any link or code from Your Services directing to comis.com using an authorized URL or code provided by COMIS, which constitutes the final link accessed by a Customer in a Session in which a transaction occurs.

    • "Session" refers to the duration beginning when a Customer first reaches the COMIS site via a link from Your Services and ending when the Customer navigates to the COMIS site via any other source or when the Offer expires or is terminated.

  • COMIS agrees to pay you a Sales Commission for all Qualifying Actions at the rate agreed in writing by both parties ("Sales Commission") for each Offer. All Sales Commissions shall be calculated based on the Net Sales Amount. No Sales Commissions shall be paid on purchases of gift cards.

    • For purposes of this Agreement, "Net Sales Amount" refers to the revenue received by COMIS via a Qualifying Link, less amounts relating to gift cards and/or store credits, discounts, coupons, and any transaction-related costs or expenses, including, without limitation, applicable taxes, shipping and handling fees, service charges, and losses arising from fraud or uncollectible debt.

  • You are solely responsible for any taxes, levies, or similar obligations imposed on the Sales Commission under applicable law and shall report and remit such obligations to the relevant authorities. COMIS may provide general information regarding taxes, but does not provide tax advice, and you are encouraged to consult your own tax and financial advisors.

  • You agree to grant COMIS whitelisting permissions for paid advertising on Meta platforms (Facebook, Instagram). You shall provide all necessary approvals, ad account access, and creative permissions to enable COMIS to run paid promotional campaigns using the content you publish. COMIS agrees to pay you a Sales Commission on Net Sales resulting from any Qualifying Actions generated through these whitelisted campaigns, in the same manner as other Qualifying Links and subject to the terms of this Section 2.

  • Sales Commissions shall be paid in accordance with the payment schedule agreed upon, subject to any holding periods imposed by Shopify. COMIS reserves the right to withhold payment as reasonably necessary to prevent suspected fraud. Payments shall be made in U.S. dollars.

  • Should Sales Commissions exceed $600 in any calendar year, you may be required to submit tax documentation to COMIS. Affiliates based in the UK and EU, must provide appropriate foreign tax forms, such as W-8BEN or W-8BEN-E. U.S. affiliates must submit a valid W-9 form. COMIS may withhold payment until such documentation is received.

  • COMIS shall have sole and final discretion to determine Qualifying Links and whether a Sales Commission is payable. All such determinations shall be final and binding. Product pricing shall be set exclusively by COMIS in its sole discretion.


3. SERVICE RESTRICTIONS

You and Your Service(s) shall not:

  • Infringe upon, misappropriate, or violate the intellectual property, rights of publicity, privacy, or any other legal rights of COMIS or any third party. Specifically, you may not, without COMIS' prior written consent, access comis.com or any COMIS social media platforms to extract images, collateral, videos, or music for use in Your Services.

  • Violate any applicable law, rule, or regulation.

  • Include or distribute content that is threatening, harassing, defamatory, obscene, harmful to minors, or contains nudity, pornography, or sexually explicit material.

  • Include or distribute content that is false, deceptive, fraudulent, or misleading.

  • Use any discount links or codes that were not validly obtained from COMIS or Shopify.

  • Misuse or otherwise abuse Qualifying Links or Codes, including by facilitating unauthorized sharing or posting of such Links or Codes on third-party discount or discussion sites. You must promptly report to COMIS any unauthorized or fraudulent use of the Links or Codes upon discovery.

You further agree that You will not, through Your Services or otherwise, undertake any conduct that might bring COMIS into public disrepute, contempt, scandal, or ridicule, or that could insult, offend, or harm the general audience for COMIS' products or advertising. This includes, but is not limited to, disparagement of COMIS, its products or services, or its competitors. Violations of these obligations may lead to immediate removal from the Program at COMIS' sole discretion.

COMIS also retains the right to require You to edit or remove, within 24 hours of notice, any content You create about the Offer if COMIS, in its sole discretion, considers it misleading or inaccurate.

 

4. SOCIAL MEDIA 

You are permitted to promote COMIS on social media platforms, including but not limited to Instagram, YouTube, and TikTok, subject to the following terms:

  • All promotional activity must comply with the terms of service, community guidelines, and other rules of the relevant social media platform, and you shall not engage in conduct that would cause COMIS to violate such rules.

  • In the event you tag COMIS in content, you acknowledge that COMIS may republish such content on its social media accounts or websites, with attribution to you.

  • COMIS may, from time to time, provide complimentary products, samples, or other materials to support promotional efforts, such as giveaways. COMIS shall not be considered the sponsor of any such promotions, and you bear sole responsibility for ensuring that all applicable laws and regulations, including those governing sweepstakes and contests, are followed. Any representations regarding such items must comply with the disclosure obligations described in Section 5.


5. DISCLOSURE GUIDELINES

You must include a clear disclosure statement on any page, blog post, or social media post where Qualifying Links to COMIS Offers appear. COMIS may occasionally provide specific hashtags that must be included. Your disclosure should clearly indicate that you are being compensated for your review or endorsement.

  • Disclosures shall be presented as proximate as practicable to the claims to which they relate.

  • Disclosures shall accompany each occurrence of a Qualifying Link; a singular site-wide statement or a separate page containing a general disclosure shall not satisfy this requirement.

  • Disclosures shall be displayed prominently above the fold, ensuring visibility without the need for scrolling.

  • Disclosures must comply with all applicable advertising and consumer protection laws and regulations. This includes, but is not limited to, the U.S. Federal Trade Commission (FTC) Guidelines on Endorsements and Testimonials, the UK Competition and Markets Authority (CMA) Guidance on Online Reviews and Endorsements, and relevant EU consumer protection and advertising transparency regulations, such as those under the Unfair Commercial Practices Directive. Affiliates are responsible for ensuring that all promotional materials clearly disclose any commercial relationship with COMIS.


6. COMPLIANCE

You hereby represent and warrant to COMIS that:

  • You are eighteen (18) years of age or older;

  • You shall at all times comply with all applicable laws, regulations, and social media guidelines, including, without limitation, laws relating to unfair competition, anti-discrimination, and false or misleading advertising;

  • Any statements or claims made regarding COMIS or its products or services shall be truthful, accurate, and reflect your honest opinions;

  • Any COMIS products depicted by you shall be used in accordance with the instructions provided on their respective packaging;

  • You are not subject to any agreement, obligation, or restriction that would conflict with your obligations under this Agreement or otherwise prevent your full compliance with its terms;

  • Any content displayed or shared via your services shall not infringe upon or violate the intellectual property rights of any third party.

 

7. REVERSAL OF COMMISSIONS

We aim to minimize reversals of commissions and maintain transparency with our affiliates. However, we expressly reserve the right to revoke commissions for Qualifying Actions arising from order cancellations, duplicate tracking, returned merchandise, disputed charges, or any conduct in violation of this Agreement. Affiliates must provide prompt, complete, and truthful responses to any requests for information regarding orders or clicks that may be subject to review under this Agreement.

 

8. RELATIONSHIP OF THE PARTIES

You expressly acknowledge that your engagement under this Agreement is as an independent contractor. This Agreement shall not be interpreted to create a partnership, joint venture, agency, employment, or franchise relationship between you and COMIS. You shall not, at any time, act for or represent yourself as an agent of COMIS, nor shall you have the power or authority to bind COMIS in any way. You agree not to undertake any act or omission that would result in COMIS violating any applicable laws, rules, or regulations

 

9. DISCLAIMER; LIMITATION OF LIABILITY; INDEMNIFICATION

The Program and all associated services are provided on an “as is” and “as available” basis, without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant or guarantee that you will earn any Sales Commissions. Under no circumstances shall COMIS, its affiliates, officers, directors, employees, agents, or partners be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, lost profits, loss of business, or loss of goodwill, arising from or related to this Agreement, the Program, or the services provided hereunder, even if advised of the possibility of such damages. In no event shall COMIS' total liability to you exceed the total Sales Commissions paid to you in the six (6) months preceding the claim.

You agree to defend, indemnify, and hold harmless COMIS and its officers, directors, employees, agents, partners, and affiliates from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with: (i) your breach of this Agreement, (ii) your marketing or promotional activities or Your Services, or (iii) your use of any Program materials or features, except to the extent any claim arises solely from infringement by materials created by COMIS.

 

10. INTELLECTUAL PROPERTY; CONFIDENTIAL INFORMATION

COMIS may, from time to time, provide You with certain materials, including but not limited to graphics, banner advertisements, images, guidelines, and key messaging points (collectively, the “COMIS Materials”). COMIS and its licensors retain all right, title, and interest in and to the COMIS Materials, including all copyrights, trademarks, and other intellectual property or proprietary rights therein or associated with the COMIS Service and Program. Except as expressly authorized herein, You shall not copy, reproduce, distribute, modify, or create derivative works of the COMIS Materials without the prior written consent of COMIS or the applicable rights holder. Nothing in this Agreement shall be construed as transferring any ownership rights or goodwill in the COMIS Materials to You. All rights not expressly granted herein are reserved by COMIS.

You further acknowledge that the COMIS Service and Materials contain confidential information. You shall not disclose, publish, or disseminate any such confidential information to any third party without COMIS' prior written consent. You agree to take all reasonable measures to protect COMIS Confidential Information from unauthorized disclosure. For purposes of this Agreement, “Confidential Information” includes all non-public information provided by or accessed through COMIS, including, without limitation, the COMIS Service portal, user-interface, access credentials, pricing, commission rates, and list of Offers.

 

11. TERM OF THE AGREEMENT

  • Either party may terminate this Agreement, and/or your participation in the Program, at any time upon providing written notice to the other party.

  • In the event that you engage in conduct or practices prohibited under this Agreement, COMIS shall have the right to immediately terminate your participation in the Service, and you shall forfeit any and all amounts otherwise owed to you.

Upon receipt of notice of termination, or upon termination in accordance with this Section, you shall immediately cease all marketing and promotional activities related to the COMIS Service, and remove all references, links, and mentions of the Service. COMIS reserves the right to withhold any pending Sales Commissions until such obligations have been fully satisfied.

 

12. GENERAL 

This Agreement constitutes the entire understanding between the parties with respect to the matters addressed herein and supersedes all prior agreements, understandings, or representations, whether written or oral, relating thereto. This Agreement shall be binding upon, and shall extend to the benefit of, the parties and their respective heirs, legal representatives, successors, and permitted assigns. Provided, however, that no assignment of any rights under this Agreement by you shall be valid without our prior written consent.

Any dispute, claim, or controversy arising out of or relating to this Agreement, including any question regarding its existence, validity, breach, termination, or enforceability, shall be finally resolved by arbitration under the Rules for Expedited Arbitrations of the Arbitration Institute of the Stockholm Chamber of Commerce. The arbitral tribunal shall consist of a sole arbitrator. The seat of arbitration shall be Stockholm, Sweden, and the proceedings shall be conducted in English.
